TERMS AND CONDITIONS OF SALE

1. Scope and Binding Effect
1.1 These Terms and Conditions of Sale (“Terms”) govern the offer, sale, and delivery of all goods manufactured and supplied by Larrikin Outdoors (“the Company”) to the customer (“the Purchaser”). 1.2 By placing an order or making a payment, the Purchaser acknowledges they have read, understood, and agreed to be bound by these Terms. 1.3 These Terms supersede all prior representations or agreements and shall prevail over any terms proposed by the Purchaser. No variation, amendment, or modification of these Terms shall be effective unless expressly agreed in writing by an authorized representative of the Company.
2. Made-to-Order Specifications and Variations
2.1 Custom Production: The Purchaser acknowledges that the Company operates a made-to-order production model. 2.2 Purchaser Warranty of Accuracy: The Purchaser is solely responsible for the accuracy of all specifications, dimensions, and instructions provided at the time of order. The Company shall not be liable for any losses or dissatisfaction resulting from inaccuracies in the Purchaser’s specifications. 2.3 Aesthetic Variations: Due to material characteristics, minor variations in color, texture, and finish from digital representations or samples may occur and shall not constitute a defect.
3. Order Acceptance and Cancellation
3.1 A binding contract is formed only upon the Company’s issuance of a formal Order Confirmation. 3.2 Irrevocability: Once production has commenced, orders for made-to-order goods are irrevocable and may not be cancelled or amended by the Purchaser. 3.3 The Company reserves the right to cancel any order at its absolute discretion prior to dispatch, in which case a full refund will be issued.
4. Pricing and Taxation
4.1 All prices are denominated in Australian Dollars (AUD). 4.2 GST Status: As the Company is not currently registered for Goods and Services Tax (GST), all prices are exclusive of GST, and no GST is charged. The Company reserves the right to adjust pricing should its registration status change. 4.3 Prices are subject to correction for manifest error at any time prior to dispatch.
5. Production Lead Times and Delivery
5.1 Lead Times: Any stated production or "lead times" are estimates provided in good faith and do not constitute a guarantee of completion by a specific date. 5.2 Delivery: The Company is not liable for any consequential loss arising from delays in production or delivery caused by third-party carriers or supply chain disruptions. 5.3 Risk: Risk of loss or damage to the goods passes to the Purchaser immediately upon the goods being dispatched from the Company’s premises.
6. Consumer Guarantees and Returns
6.1 Australian Consumer Law: Nothing in these Terms excludes or limits any rights the Purchaser may have under the Competition and Consumer Act 2010 (Cth). 6.2 Defective Goods: If the goods fail to meet a consumer guarantee, the Purchaser must notify the Company in writing as soon as the defect becomes apparent to facilitate an assessment. 6.3 Exclusion of Change of Mind: Subject to the Australian Consumer Law, and given the made-to-order nature of the goods, the Company does not accept returns or offer refunds for "change of mind" or Purchaser error.
7. Limitation of Liability
7.1 To the maximum extent permitted by law, the Company’s liability for any breach of a condition or warranty is limited, at the Company’s option, to: (a) The replacement or repair of the goods; or (b) The payment of the cost of having the goods repaired or replaced. 7.2 The Company shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or revenue.
8. Intellectual Property
8.1 All intellectual property rights, including designs, trademarks, and proprietary manufacturing processes, remain the exclusive property of the Company. 8.2 No license is granted to the Purchaser to reproduce or use the Company’s intellectual property without express written authorization.
9. Force Majeure
9.1 The Company shall not be in breach of these Terms or liable for any delay in performing its obligations if such delay or failure results from events, circumstances, or causes beyond its reasonable control.
10. Governing Law
10.1 These Terms are governed by and construed in accordance with the laws of Victoria, Australia. 10.2 The parties submit to the exclusive jurisdiction of the courts of that jurisdiction.
